Motions For Reform


First Motion

The first motion is a proposal to amend Paragraphs III and XI of the current bylaws. Currently, the "Members." section of Paragraph III reads as follows:

Members. Members are eligible to vote, hold offices, and participate in all activities of the Association.

Proposed change:

Members. Members are eligible to vote, hold offices, and participate in all activities of the Association. For their minimum dues, members are entitled to receive the Association newsletter, which shall be called the ACCOUNTING EDUCATION NEWS, and a choice of subscription to one Association journal (including section journals -- but not section newsletters). Additional Association journals may be purchased by members at their discretion.

Be it further proposed that in the next section labeled "Associate Members.", the third sentence, which currently reads:

Associate Membership shall include a subscription to one or more Association journals, as determined by the Executive Committee.

be amended to read:

For their minimum dues, Associate Members are entitled to receive the Association newsletter (called the ACCOUNTING EDUCATION NEWS) and a choice of subscription to one Association journal. Additional Association journals may be purchased by associate members at their discretion.

Be it further proposed that the following sentence be inserted between the first and second sentences of section XI of the current bylaws:

Subscription fees to these journals shall be determined by the Executive Committee.

Second Motion

The second motion is a proposal to amend Section XII of the current bylaws. We move that the following two sentences be inserted after the first sentence of Section XII of the current bylaws, Regions. Sections and Groups.

A special interest segment is formed when fifty or more members of the Association petition for its formation. A minimum of 50 members is required for the segment to continue its affiliation with the Association. Any membership dues for segments are to be determined by segment members.

Further be it proposed that the sentence that currently reads:

"The Executive Committee shall formulate policies, rules and regulations governing these segments." be altered to read:

The Executive Committee shall formulate policies, rules, and regulations necessary to coordinate the activities of these segments at the annual meeting of the Association.

Third Motion

The third motion is a proposal to amend Sections VIII and IX of the current bylaws. We propose that subsection "3. Committee on Nominations." be amended to read as follows:

3. Committee on Elections. The Committee on Elections shall consist of the three most recent Past Presidents willing and able to serve and two members elected by the Council. The two elected members need not be members of the Council, and may not be current members of the Executive Committee. The Committee on Elections shall be chaired by the most senior, in service, of the Past Presidents serving. The Committee on Elections shall conduct elections each year for those offices for which elections are required. In the first issue of the ACCOUNTING EDUCATION NEWS published after the annual meeting, the Committee shall announce the offices for which elections are to be held that year. Any member of the Association may be nominated for an office by submitting to the Committee a petition signed by fifty members of the Association. A member may be nominated for only one office. The Committee shall validate the petitions, prepare and mail ballots to all members eligible to vote, collect and tabulate the results of balloting, and validate the results. The Committee shall complete this election process at least 90 days prior to the annual meeting at which the electees are to assume their offices. If an office remains unfilled as a result of this process, the Committee will prepare a slate of two candidates for the office which will be voted upon at the annual meeting of the Association.

Members of the Committee on Elections are not eligible for nomination, except that members of the Committee on Elections who are already members of the Council may continue in that capacity.

Be it also moved that Section IX of the current bylaws be deleted and the subsequent sections renumbered accordingly.

Further, be it moved that Item 2. in Section X of the current bylaws (section IX of amended bylaws), which currently reads: "2. the nominees for election." be altered to read as follows:

2. the list of persons elected to Association offices.
